2. Eligibility (UK only; age)
2.1 The Service is currently offered only to customers located in the United Kingdom. By using the Service you represent that you are resident in the United Kingdom and, for paid plans, that your billing address and payment method are UK-based. We may decline, suspend, or refuse service where this is not the case.
2.2 You must be at least 16 years old to create an Account. If you use the Service on behalf of an organisation, you confirm you are authorised to bind that organisation, and "you" includes that organisation.
2.3 We may verify eligibility and may restrict payment to UK billing addresses and UK-issued payment methods.
3. Account registration and security
3.1 You must provide accurate, current information and keep it up to date.
3.2 You are responsible for safeguarding your login credentials and for all activity under your Account. Notify us immediately at support@sincecode.com of any unauthorised use.
3.3 You are responsible for the acts and omissions of anyone you allow to use your Account, including any Collaborators you invite. You are responsible for managing Collaborator access and for the content and actions they contribute.
3.4 Staff access to your Account. We may access your Account only in limited circumstances: (a) where you grant us time-limited support access (which you can see and revoke in your account settings); or (b) where an authorised member of staff needs to access it to provide support, investigate abuse, or comply with law. Such access is logged. We do not use your Account for our own purposes.
4. Plans, Premium and Add-ons
4.1 Free Plan. We may offer a Free Plan with limited features, storage, and website allowances. The Free Plan is provided "as is" with no service-level commitment (see clause 11).
4.2 Premium. Premium unlocks additional features, capacity, and allowances as described at the point of purchase. Premium is a recurring subscription governed by the Subscription, Billing & Cancellation Terms.
4.3 Add-ons. You may purchase Add-ons (e.g. additional storage, additional websites). Add-ons attach to your subscription, are billed alongside it, and are prorated on change as described in the Subscription, Billing & Cancellation Terms.
4.4 Plan limits. Each plan has limits (for example storage, number of websites, Collaborators, monthly visits, bookings, form submissions, and Feature availability). We will make limits visible in-product. We may apply reasonable technical measures to enforce limits, which may include pausing or unpublishing a Published Site that exceeds a plan limit (for example a monthly visit limit on the Free Plan) until you upgrade or the limit resets. Details are in the Subscription, Billing & Cancellation Terms.
4.5 Changes to plans. We may change the features, limits, or composition of plans. Where a change materially reduces a paid plan you are using, we will give reasonable advance notice and, where required, options to cancel.
5. Fees, billing and tax
5.1 Fees, billing cycles, renewals, taxes, refunds, and cancellation are set out in the Subscription, Billing & Cancellation Terms, which form part of these Terms for paid plans.
5.2 All prices are in pounds sterling (GBP). Payments are processed by our payment provider, Stripe.
5.3 VAT. We are not VAT-registered and no VAT is charged. The price shown at purchase is the total you pay. If we become VAT-registered in the future, we will give notice before any VAT applies.
5.4 Consumer cancellation rights. If you are a consumer, you may have statutory cancellation rights under the Consumer Contracts (Information, Cancellation and Additional Charges) Regulations 2013. These rights, and how the 14-day cooling-off period applies to digital services, are set out in the Subscription, Billing & Cancellation Terms. Nothing in these Terms removes statutory rights you cannot waive.
6. Customer Content and licence
6.1 You own your Customer Content. We do not claim ownership of it.
6.2 Licence to us. You grant us a worldwide, non-exclusive, royalty-free licence to host, store, copy, display, transmit, adapt (for technical formatting/display), and back up your Customer Content solely to operate, secure, and provide the Service (including publishing your Published Sites). This licence ends when the relevant Customer Content is deleted, except for residual copies in our encrypted disaster-recovery backups (overwritten on a rolling cycle, currently up to approximately 24 months) and any copies we must keep by law.
6.3 Your responsibility. You are solely responsible for your Customer Content and Published Sites, including their legality, accuracy, and that you have all rights and permissions needed to use and publish them. This includes responsibility for your Published Site's own legal compliance — for example accessibility and any sector-specific rules that apply to you.
6.4 Feedback. If you give us feedback or suggestions, we may use them without restriction or obligation.
6.5 Ownership of generated sites vs platform. Subject to your compliance with these Terms, you own the website content you create using the Service (your Customer Content and Published Sites). We retain ownership of the underlying software, platform technology, templates, themes, components, and other materials we provide. Where a template or component is incorporated into your Published Site, you receive a non-exclusive licence to use it as part of your site for as long as you use the Service; you do not acquire ownership of the template or component itself.
6.6 Sincecode-supplied imagery. We provide a library of stock imagery that you may use in your Published Sites under the licence in clause 6.5. Library imagery that depicts people is AI-generated and depicts no real individuals — so no model releases are required and no likeness or publicity rights attach to it. You must not use such imagery to present an AI-generated person as a real individual — for example as a named team member, a genuine customer testimonial, or an endorsement (see clause 1.5A of the Acceptable Use Policy).
7. Acceptable use
7.1 You must comply with our Acceptable Use Policy, which is incorporated into these Terms.
7.2 We may remove, disable, or restrict access to any Customer Content or Published Site that we reasonably believe breaches these Terms, the Acceptable Use Policy, or applicable law, in accordance with our Content Takedown & Complaints Policy.
7.3 Fair use of resources. You must not use the Service in a manner that places an unreasonable burden on our infrastructure, exceeds the limits of your plan, or materially degrades the experience, performance, or security of the Service for other users. We may apply reasonable technical limits and take action under our Acceptable Use Policy where use is excessive or abusive.
8. Published Sites and Custom Domains
8.1 You are responsible for any Custom Domain you connect, including registering and maintaining it and paying domain fees to your registrar. We are not your domain registrar and do not control your domain.
8.2 We provision hosting and SSL/TLS certificates for Published Sites as part of the Service. Availability of a Custom Domain depends on correct DNS configuration, which is your responsibility.
8.3 On termination, suspension, or non-payment, your Published Sites may stop being served and your Custom Domain may cease to resolve to our servers. We do not take ownership of your Custom Domain.
8.4 If your Published Site collects personal data from Visitors, you are the data controller for that Visitor Data and we act as your processor. The data-processing terms in Schedule 1 (Data Processing Addendum) apply to that processing.
9. Our intellectual property
9.1 We and our licensors own all rights in the Service, including the software, templates, designs, trademarks, and documentation (excluding your Customer Content). We grant you a limited, non-exclusive, non-transferable, revocable licence to use the Service in accordance with these Terms.
9.2 You must not copy, modify, reverse engineer, resell, or create derivative works of the Service except as permitted by law or expressly allowed by us.
10. Third-party services
The Service relies on third parties (for example Stripe for payments and our hosting and email providers, listed in our Subprocessor List). Your use of certain features may be subject to those third parties' terms. We are not responsible for third-party services outside our control.
11. Availability, support and "as is" for Free Plan
11.1 We aim to keep the Service available but do not guarantee uninterrupted or error-free operation. We may perform maintenance and will try to minimise disruption.
11.2 The Free Plan is provided "as is" and "as available", with no uptime, support, or service-level commitment. Any service levels or support commitments for Premium will be as stated for that plan.
11.3 Nothing in this clause limits rights you have as a consumer under the Consumer Rights Act 2015 that cannot be excluded.
12. Suspension and termination
12.1 By you. You may stop using the Service and may cancel a paid plan as described in the Subscription, Billing & Cancellation Terms. You may also request deletion of your Account and Customer Content at any time, from your account settings or by emailing support@sincecode.com. We will action deletion within a reasonable period, subject to any retention we are required to keep by law (for example billing records) and to residual copies in our encrypted disaster-recovery backups, which are overwritten on a rolling cycle (currently up to approximately 24 months).
12.2 By us. We may suspend or terminate your Account or any Published Site, with or without notice where appropriate, if: (a) you breach these Terms or the Acceptable Use Policy; (b) we are required to by law or a valid notice; (c) your use poses a security, legal, or reputational risk; or (d) for non-payment.
12.3 Where practical and lawful, we will give notice and an opportunity to remedy a breach before suspension or termination.
12.4 Effect of termination. On termination, your right to use the Service ends and your Published Sites may be taken offline. We will make Customer Content available for export for 30 days after termination (as described in the Subscription, Billing & Cancellation Terms), after which it may be deleted.
13. Data protection
13.1 Our handling of personal data for which we are the controller (such as your Account and billing data) is described in our Privacy Policy.
13.2 Where we process Visitor Data on your behalf (clause 8.4), the Data Processing Addendum at Schedule 1 applies. Business customers requiring a separate signed agreement may request our standalone DPA.
14. Warranties and disclaimers
14.1 We provide the Service with reasonable care and skill.
14.2 Except as expressly stated and except for rights that cannot be excluded by law (including consumer rights under the Consumer Rights Act 2015), the Service is provided without other warranties of any kind, whether express or implied, including fitness for a particular purpose and non-infringement.
15. Limitation of liability
15.1 Nothing in these Terms limits or excludes liability that cannot be limited or excluded by law, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any liability under the Consumer Rights Act 2015 that cannot lawfully be excluded.
15.1A Consumers. If you are a consumer, nothing in this clause 15 affects your statutory rights, and the limitations and exclusions in clauses 15.2 and 15.3 do not apply to any liability of ours that cannot lawfully be limited or excluded against a consumer (including our duty to provide the Service with reasonable care and skill, and our liability for foreseeable loss caused by our breach or negligence). Where you are a consumer, we are responsible for loss or damage you suffer that is a foreseeable result of our breach of these Terms or our failure to use reasonable care and skill, but we are not responsible for loss that is not foreseeable.
15.2 Subject to clause 15.1, we are not liable for: (a) loss of profits, revenue, business, goodwill, or anticipated savings; (b) loss or corruption of data except to the extent caused by our failure to take reasonable care; or (c) indirect or consequential loss.
15.3 Subject to clauses 15.1 and 15.2, our total aggregate liability arising out of or in connection with the Service in any 12-month period is limited to the greater of (a) the total fees you paid us in that 12-month period, or (b) £100.
15.4 You are responsible for maintaining your own backups of Customer Content where it is important to you.
16. Indemnity and responsibility for losses
16.1 Business customers. If you use the Service in the course of a business, you will indemnify us against losses, damages, and reasonable costs (including reasonable legal fees) we incur arising from your Customer Content or Published Sites, your breach of these Terms or the Acceptable Use Policy, or your infringement of any third-party right. We will notify you of any relevant claim, allow you to participate in its defence, and not settle it without your consent (not to be unreasonably withheld).
16.2 Consumers. If you use the Service as a consumer, this indemnity does not apply to you. You remain responsible, in accordance with the general law, for loss or damage we suffer that is caused by your breach of these Terms or the Acceptable Use Policy, but only to the extent it is a foreseeable result of that breach.
17. Changes to the Service and these Terms
17.1 We may update these Terms from time to time. Each version is published with its effective date and kept in a versioned history you can review. For material changes we will give reasonable notice (for example by email or in-product) and, where appropriate, ask you to re-accept the updated Terms before continuing to use the Service. Changes take effect on the stated date.
17.2 If you do not accept a material change, your remedy is to stop using the Service and, for paid plans, cancel in accordance with the Subscription, Billing & Cancellation Terms. Continued use after the effective date means you accept the updated Terms.
18. Governing law and jurisdiction
18.1 These Terms and any dispute arising from them are governed by the laws of England and Wales.
18.2 The courts of England and Wales have exclusive jurisdiction, except that if you are a consumer you may also have the right to bring proceedings in your local UK courts.
19. General
19.1 Assignment. You may not assign these Terms without our consent. We may assign them to an affiliate or successor on notice.
19.2 Entire agreement. These Terms and the documents they incorporate are the entire agreement between us regarding the Service.
19.3 Severance. If any provision is unenforceable, the rest remain in force.
19.4 Waiver. Failure to enforce a term is not a waiver of it.
19.5 Notices. We may give notice by email or in-product. You may contact us at legal@sincecode.com.
19.6 Force majeure. We are not liable for failure caused by events beyond our reasonable control.
19.7 Third-party rights. No one other than the parties has rights under these Terms under the Contracts (Rights of Third Parties) Act 1999.
Schedule 1 — Data Processing Addendum (Customer as Controller, Sincecode as Processor)
This Schedule applies where we process Visitor Data on your behalf (clause 8.4) and forms part of these Terms. It is intended to satisfy Article 28 of the UK GDPR.
1. Roles. For Visitor Data, you are the Controller and we are the Processor. For your Account/billing data, we are the Controller (see Privacy Policy).
2. Subject matter and duration. Processing lasts for as long as you use the Service and for any limited retention/backup period afterwards.
3. Nature and purpose. Hosting, storing, transmitting, securing, and displaying Visitor Data so that your Published Sites function (e.g. contact-form submissions, analytics you enable).
4. Types of personal data. As determined by what your Published Site and Features collect. This may include names, email addresses, postal addresses, phone numbers, message and comment content, event RSVP details (meal choice, party size, plus-ones), gallery client details and selections, booking customer details and notes, review and blog-comment author details, guest-uploaded photographs and uploader names, and technical data such as IP addresses.
4A. Special-category data. Where you enable it (for example the optional dietary-requirements / allergies field in the Events / RSVP Feature), Visitor Data may include special-category data concerning health within the meaning of Article 9 of the UK GDPR. You are responsible for having a lawful basis and any explicit consent required for such data; we process it only as part of providing the Service on your instructions.
5. Categories of data subjects. Visitors to your Published Sites, including event guests, gallery clients, booking customers, and people who comment on or review your Published Sites.
6. Our obligations as Processor. We will: (a) process Visitor Data only on your documented and lawful instructions (these Terms and your use of the Service), unless required by law (in which case we will inform you unless legally prohibited), and we will inform you if, in our opinion, an instruction infringes data-protection law; (b) ensure persons processing it are under a duty of confidentiality; (c) implement appropriate technical and organisational security measures (clause 8); (d) engage sub-processors only under written terms with equivalent obligations, and maintain a current Subprocessor List; we will give notice of intended changes and you may object on reasonable data-protection grounds; we remain responsible for our sub-processors' performance to the extent required by data-protection law; (e) assist you, taking into account the nature of processing, with responding to data-subject requests and with your obligations on security, breach notification, and impact assessments; (f) notify you without undue delay, and where feasible within 48 hours, after becoming aware of a personal data breach affecting Visitor Data; (g) on termination, delete or return Visitor Data as you direct within a reasonable period not exceeding 30 days from live systems, except where retention is required by law; residual copies in our encrypted disaster-recovery backups are deleted as those backups are overwritten on our rolling backup cycle (currently up to approximately 24 months) and are not used for any other purpose in the meantime; and if a backup is restored, personal data previously deleted from live systems will be identified and re-deleted promptly as part of returning the restored environment to production; (h) make available information reasonably necessary to demonstrate compliance and allow for audits, on at least 14 days' notice, no more than once per year unless required by a supervisory authority or following a personal data breach, and subject to confidentiality and reasonable cost.
7. International transfers. Where Visitor Data is transferred outside the UK, we will ensure an appropriate safeguard recognised under UK data-protection law is in place, including UK adequacy regulations or, where applicable, the UK International Data Transfer Agreement (IDTA) or the UK Addendum to the EU Standard Contractual Clauses. See the Subprocessor List for locations.
8. Security. Appropriate measures including encryption in transit, access controls, and regular review.
End of Terms of Service.
